1. Use of Our Services
Eligibility

2. Accounts & Security
You may be required to create an account to access certain Services.
You are responsible for:
- Maintaining confidentiality of your login credentials
- Ensuring your account activity complies with these Terms
- Notifying us immediately of unauthorized access
We are not liable for losses resulting from unauthorized account use.
3. Service Engagements & Work Performed
If you purchase consulting, automation, integration, or configuration services from CloudLayer:
- Scope of work will be defined in a written proposal or agreement
- Services are provided on a best-effort, professional basis
- You are responsible for providing accurate information and timely access to required systems
- Deliverables may depend on third-party platforms such as Microsoft 365, Power Automate, or Azure
- We are not responsible for outages, defects, or limitations in third-party services
4. Payments & Billing
If you purchase paid services:
- Fees will be clearly outlined before work begins
- Unless otherwise stated, invoices are due upon receipt
- Late payments may delay delivery of services
- All fees are non-refundable unless otherwise agreed in writing
- Taxes, if applicable, will be added to the final invoice
5. Intellectual Property
Our Content
All content, branding, designs, materials, and intellectual property created by CloudLayer remain our property unless explicitly transferred in writing.
Client Data
You retain ownership of all data, documents, and content you provide to us.
You grant us a limited license to use that data solely for the purpose of delivering the Services.
Custom Work
Deliverables such as automation flows, scripts, or configurations may be licensed to you for business use but remain CloudLayer’s intellectual property unless a transfer is agreed upon.
6. Third-Party Services
Our Services may integrate with third-party platforms (e.g., Microsoft 365, Azure, Power Automate, SharePoint, external APIs).
We are not responsible for:
- Changes made by third-party providers
- Data loss or outages caused by external services
- Feature limitations or deprecations
Your use of third-party tools is governed by their terms and policies.
7. Data Privacy
Your use of the Services is also governed by our Privacy Policy.
By using our Services, you consent to the data collection and handling practices described there.
8. Limitation of Liability
To the fullest extent permitted by law:
- CloudLayer is not liable for indirect, incidental, special, or consequential damages
- We are not responsible for lost data, lost revenue, downtime, business interruption, or third-party system failures
- Our total liability is limited to the amount you paid for Services in the previous 3 months
This limitation applies even if we were advised of the possibility of such damages.
9. Warranties & Disclaimers
The Services are provided “as is” and “as available.”
We do not guarantee:
- Uninterrupted or error-free operation
- That automations or integrations will work indefinitely (due to changes in third-party platforms)
- That Services will meet every business requirement
We will, however, make reasonable efforts to deliver reliable and effective solutions.
10. Termination
We may suspend or terminate your access to the Services if:
- You violate these Terms
- You misuse or attempt to compromise systems
- Payment is not received for paid services
- Continued service becomes impractical due to external technical limitations
You may terminate services at any time by contacting us.
Certain provisions—including Intellectual Property, Payment Obligations, and Liability Limitations—survive termination.
11. Changes to These Terms
We may update these Terms from time to time.
Revised Terms take effect immediately upon posting on our website.
Continued use of the Services indicates acceptance of any updated Terms.
12. Governing Law
These Terms are governed by the laws of the state or country where CloudLayer operates, without regard to conflict of law principles.
Any disputes will be resolved in the courts located in that jurisdiction.
